1. Introduction and Acceptance of Terms

Welcome to TAD Motors ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, mobile applications, electric vehicle products, services, and all related offerings (collectively, the "Services").

By accessing or using our Services, placing a pre-order, purchasing a vehicle, or engaging with any aspect of our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Services.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through prominent notice on our platform. Your continued use of the Services following any changes constitutes acceptance of those changes.

2. Eligibility and Account Registration

2.1 Eligibility Requirements

To use our Services, you must be at least 18 years of age and possess the legal capacity to enter into binding contracts under Kenyan law. By using our Services, you represent and warrant that you meet these eligibility requirements.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other security breach. We will not be liable for any loss or damage arising from your failure to protect your account information.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. Providing false or misleading information may result in immediate termination of your account and any pending orders.

3. Vehicle Pre-Orders and Reservations

3.1 Pre-Order Process

A pre-order constitutes a reservation for a TAD Motors electric vehicle and does not guarantee delivery on a specific date. Pre-orders are processed on a first-come, first-served basis within each vehicle configuration category.

3.2 Reservation Deposits

Pre-orders require a reservation deposit as specified at the time of order. This deposit secures your position in the production queue and will be applied toward the final purchase price. Reservation deposits are refundable upon request until your order enters the production phase.

3.3 Configuration Changes

You may modify your vehicle configuration (color, add-ons, features) until your order enters production. Some configuration changes may affect your delivery timeline and final pricing.

3.4 Pricing and Payment

All prices displayed are in Kenyan Shillings (KSH) unless otherwise stated. While we strive to maintain consistent pricing, we reserve the right to adjust prices based on market conditions, manufacturing costs, and currency fluctuations. The final purchase price will be confirmed before production begins, and you will have the opportunity to accept or cancel your order at that time.

4. Vehicle Purchase and Delivery

4.1 Purchase Agreement

When your vehicle is ready for production, you will receive a Purchase Agreement detailing the final configuration, pricing, payment terms, and estimated delivery timeline. The purchase is only binding upon your acceptance of the Purchase Agreement and completion of the required payment.

4.2 Delivery Timeline

Estimated delivery dates are provided in good faith but are subject to change due to production schedules, supply chain factors, regulatory requirements, and other circumstances beyond our control. We will keep you informed of any significant changes to your delivery timeline.

4.3 Delivery Locations

Vehicles will be delivered to designated TAD Motors delivery centers or approved locations within Kenya. Home delivery may be available in select areas for an additional fee. You are responsible for inspecting your vehicle upon delivery and reporting any concerns within 48 hours.

4.4 Title and Risk of Loss

Title to the vehicle and risk of loss pass to you upon delivery and your acknowledgment of receipt. Until that point, the vehicle remains our property and responsibility.

5. Vehicle Warranty

5.1 Comprehensive Vehicle Warranty

All TAD Motors vehicles come with a comprehensive warranty covering manufacturing defects and component failures:

  • Vehicle Warranty: 4 years or 80,000 kilometers, whichever comes first
  • Battery and Drive Unit: 8 years or 200,000 kilometers, with minimum 70% capacity retention
  • Corrosion Protection: 12 years unlimited kilometers
  • Safety Restraint Systems: 5 years or 100,000 kilometers

5.2 Warranty Exclusions

The warranty does not cover damage resulting from:

  • Accidents, misuse, negligence, or unauthorized modifications
  • Use of non-approved parts, accessories, or charging equipment
  • Failure to follow recommended maintenance schedules
  • Normal wear and tear items (tires, brake pads, wiper blades, etc.)
  • Environmental damage, natural disasters, or acts of God
  • Commercial use unless the vehicle was purchased for commercial purposes

5.3 Warranty Service

Warranty service must be performed at authorized TAD Motors service centers or by certified mobile service technicians. Attempting repairs at unauthorized facilities may void applicable warranty coverage.

6. Charging Infrastructure and Services

6.1 TAD Charging Network

TAD Motors operates a network of charging stations across Kenya. Access to these stations may require a separate subscription or per-use payment. Charging rates, availability, and locations are subject to change.

6.2 Home Charging Solutions

We offer home charging solutions through approved installation partners. Installation services are subject to separate terms and conditions. We are not responsible for electrical work performed at your residence.

6.3 Third-Party Charging Networks

TAD Motors vehicles are compatible with standard charging infrastructure. Use of third-party charging networks is subject to those providers' terms and conditions. We are not responsible for the availability, pricing, or quality of third-party charging services.

7. Software and Over-the-Air Updates

7.1 Vehicle Software

TAD Motors vehicles include proprietary software that controls various vehicle functions. This software is licensed, not sold, to you. You agree not to modify, reverse engineer, decompile, or create derivative works based on the vehicle software.

7.2 Over-the-Air Updates

Your vehicle will receive over-the-air (OTA) software updates automatically when connected to the internet. These updates may include bug fixes, security patches, feature enhancements, and new capabilities. Some updates may be mandatory for safety or regulatory compliance.

7.3 Connectivity Requirements

Many vehicle features require an active data connection. Basic connectivity for safety features and critical updates is included with your vehicle. Premium connectivity features may require a separate subscription.

7.4 Feature Availability

Some software features may be region-specific or subject to regulatory approval. We may add, modify, or remove features through software updates. Premium features purchased separately are subject to their own terms and conditions.

8. Autonomous and Driver Assistance Features

8.1 Driver Assistance Systems

TAD Motors vehicles include advanced driver assistance systems (ADAS) designed to enhance safety and convenience. These systems are designed to assist the driver, not replace them. You must remain attentive and ready to take control of the vehicle at all times.

8.2 Limitations and Responsibilities

Driver assistance features have limitations and may not function correctly in all conditions. You are solely responsible for the safe operation of your vehicle. Do not rely exclusively on these systems to avoid accidents.

8.3 Future Autonomous Capabilities

Future autonomous driving capabilities may be offered through software upgrades, subject to regulatory approval and additional fees. The availability, functionality, and legal use of autonomous features will depend on local laws and regulations.

9. Data Collection and Privacy

9.1 Vehicle Data Collection

Your TAD Motors vehicle collects and transmits data related to vehicle performance, usage, location, and diagnostics. This data helps us improve our products, provide services, and ensure vehicle safety. See our Privacy Policy for complete details.

9.2 Data Usage

We may use collected data to:

  • Provide and improve our products and services
  • Perform diagnostics and preventive maintenance
  • Develop new features and technologies
  • Ensure vehicle safety and security
  • Comply with legal and regulatory requirements
  • Communicate with you about your vehicle

9.3 Data Sharing

We may share anonymized or aggregated data with research partners, regulatory authorities, and service providers. We will not sell your personal data to third parties for marketing purposes without your explicit consent.

10. Intellectual Property

10.1 Ownership

All intellectual property rights in TAD Motors vehicles, software, designs, trademarks, and content remain the exclusive property of TAD Motors or our licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to use the vehicle software and related materials solely for personal, non-commercial purposes in connection with your TAD Motors vehicle.

10.3 Restrictions

You may not use TAD Motors trademarks, logos, or branding without our prior written consent. Unauthorized use of our intellectual property may result in legal action.

11. Limitation of Liability

11.1 Disclaimer of Warranties

Except as expressly stated in these Terms or the vehicle warranty, our Services and vehicles are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11.2 Limitation of Damages

To the maximum extent permitted by law, TAD Motors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of our Services or vehicles.

11.3 Cap on Liability

Our total liability for any claims arising under these Terms shall not exceed the amount you paid for the specific product or service giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless TAD Motors, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of our Services or vehicles, or your violation of any rights of another party.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating formal dispute resolution, you agree to first contact us at legal@tadmotors.com to attempt to resolve any dispute informally. We will work in good faith to resolve issues within 30 days.

13.2 Arbitration

If informal resolution is unsuccessful, any dispute arising out of or relating to these Terms shall be resolved through binding arbitration under the rules of the Nairobi Centre for International Arbitration (NCIA).

13.3 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law principles.

14. Cancellation and Refunds

14.1 Pre-Order Cancellation

You may cancel your pre-order and receive a full refund of your deposit at any time before your order enters the production phase. Once production begins, cancellation is subject to a restocking fee of up to 10% of the vehicle price.

14.2 Refund Processing

Approved refunds will be processed within 14 business days and returned via the original payment method. Bank processing times may vary.

14.3 Company-Initiated Cancellation

We reserve the right to cancel orders if we are unable to fulfill them due to production constraints, regulatory issues, or other circumstances. In such cases, you will receive a full refund of all payments made.

15. Environmental Commitment

15.1 Sustainability Practices

TAD Motors is committed to sustainable practices throughout our operations. Our vehicles are designed with recyclability in mind, and we actively work to minimize our environmental impact.

15.2 Battery Recycling

At the end of your vehicle's battery life, you agree to return the battery pack to TAD Motors or an authorized recycling facility. We offer a battery buyback program that credits you for the residual value of your battery.

15.3 Carbon Offset Program

Through our carbon offset program, TAD Motors invests in renewable energy and reforestation projects across Kenya. Vehicle owners can track their environmental impact through the TAD Motors app.

16. Test Drives

16.1 Test Drive Requirements

To participate in a test drive, you must hold a valid driver's license, be at least 21 years of age, and provide proof of valid auto insurance. Test drives must be scheduled in advance through our website or customer service.

16.2 Test Drive Conduct

During a test drive, you agree to operate the vehicle safely and in accordance with all traffic laws. You are responsible for any damage to the vehicle, property damage, or injuries that occur during the test drive due to your negligence.

16.3 Home Test Drives

Extended home test drive programs are available in select locations. Additional terms and a security deposit may apply.

17. Financing and Insurance

17.1 Financing Options

TAD Motors partners with financial institutions to offer vehicle financing. Financing is subject to credit approval and the terms and conditions of our financing partners. We are not a lender and do not provide financial advice.

17.2 Insurance Requirements

You must maintain comprehensive auto insurance that meets or exceeds the minimum requirements under Kenyan law throughout your ownership of a TAD Motors vehicle. Proof of insurance is required before vehicle delivery.

17.3 TAD Insurance Partners

We partner with insurance providers who offer coverage tailored to electric vehicles. These partnerships may provide discounted rates for TAD Motors owners. Contact us for more information about insurance options.

18. Service and Maintenance

18.1 Service Network

TAD Motors maintains a network of service centers and mobile service units across Kenya. We recommend using authorized service providers to ensure your warranty remains valid and your vehicle receives the highest quality care.

18.2 Maintenance Requirements

Electric vehicles require less maintenance than traditional vehicles, but regular service is still important. Follow the maintenance schedule in your owner's manual to ensure optimal vehicle performance and warranty coverage.

18.3 Remote Diagnostics

Your vehicle supports remote diagnostics, allowing our service team to monitor vehicle health and proactively identify potential issues. In many cases, we can resolve software-related issues remotely.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and TAD Motors regarding your use of our Services.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

19.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, war, terrorism, labor disputes, government actions, or supply chain disruptions.
